1. About these terms

These Terms of Service are an agreement between you and One Poesis (legal name: To be confirmed, To be confirmed, registration number To be confirmed, address: To be confirmed), referred to as "we", "us" or "One Poesis". They govern your use of the One Poesis platform, including the websites www.poesis.space and poesis.one, the One Poesis app and its related services (together, "One Poesis").

These terms work together with the Privacy Notice, the AI, IP and Protection Disclaimer, the Credits, Payments and Refund Policy and the Intellectual Property Complaints Policy. By creating an account or using One Poesis, you agree to these terms. If you do not agree, please do not use One Poesis.

This page is a draft for review. It is not an approved or published legal policy until Master and counsel say so.

2. Who can use One Poesis

You must be at least 18 years old and able to enter into a binding agreement. One Poesis is currently offered as early access: we review account requests and may approve, decline or limit access at our discretion.

If you use One Poesis for a business or another person, you confirm that you are authorised to accept these terms for them, and "you" includes them.

Give us accurate information and keep it up to date. You are responsible for keeping your password safe and for activity on your account. Tell us promptly at [email protected] if you think someone else has accessed it.

3. What One Poesis does and does not do

One Poesis is a workspace for creators. It helps you keep records of what you make, understand ways your work could be protected, prepare application materials and, where you authorise it, have a partner file an application for you.

• One Poesis is not a law firm and does not give legal advice. Guidance in the app, including from our AI features, is general information to help you decide. Read the AI, IP and Protection Disclaimer.
• One Poesis is not a government office and is not affiliated with the Intellectual Property Office of the Philippines (IPOPHL) or any other IP office. Examination and decisions belong only to the relevant office.
• Records that One Poesis creates, such as Authorship certificates, Claim Records, integrity hashes, verification pages and reports, are private One Poesis records. They are not government grants of rights.
• Status updates about filed applications are checked by our team against office records. They are not a live connection to any government system.

4. Protection layers

One Poesis presents four product layers. Availability follows what the live product shows, including "Coming soon" where a benefit is not built yet.

• Layer 1 - Authorship: an authorship certificate for a file you add to your Portfolio. The certificate is created when you upload an asset. You claim it from the shield on that asset. Claiming is free. An Authorship certificate is evidence of authorship you can claim. It does not by itself establish legal ownership and it is not a government decision.
• Layer 2 - Poesis+: an Claim Record for an asset. Buying Poesis+ does not guarantee legal ownership or a government decision.
• Layer 3 - Poesis X: Private Record. An integrity hash and a verification page are available according to the product. Privacy controls are Coming soon where the product says so.
• Layer 4 - Poesis Pro: trademark or copyright application preparation and partner filing support. Government fees are separate and paid to the office. Government examination and decisions are outside One Poesis' control. Licensing and distributorship are intended Poesis Pro benefits and are Coming soon where the product says so. Buying Poesis Pro does not create a licensee, distributor, revenue or commercial agreement by itself.

One Poesis never promises government approval, a particular filing outcome, guaranteed legal protection, guaranteed licensing revenue, guaranteed distributorship or guaranteed commercial success.

5. Your work stays yours

You keep all ownership and rights you have in the ideas, files, text, images, records and other material you add to One Poesis ("your content"). Uploading something does not transfer any ownership to us.

So that we can provide One Poesis, you give us a limited, non-exclusive, worldwide, royalty-free permission to host, store, copy, process, format and display your content, only as needed to:

• run the features you use, such as storing your files, creating records and showing your workspace back to you;
• send the parts of your content a feature needs to the service providers that process it for us, including AI providers, as described in the Privacy Notice;
• show your content to people you choose to share it with, for example through a share link;
• prepare and submit an application you have authorised, including sending the required materials to the relevant IP office;
• keep One Poesis secure, prevent abuse and meet legal obligations.

This permission ends when you delete the content or your account, except for copies we must keep for legal, tax or record-keeping reasons, content already submitted to a government office, and backups that are deleted on their normal cycle.

We do not sell your content, publish it without your instruction, or use it to train AI models.

6. Your responsibilities for your content

You confirm that you have the rights needed to upload and use your content on One Poesis, and that your content and your use of One Poesis do not infringe anyone else's rights or break the law.

Information you give for an application, such as applicant names, addresses and descriptions of goods or services, must be true and complete. Government offices rely on it, and errors can delay, harm or end an application.

7. AI features

One Poesis includes AI features, including Pyli, our AI guide, and AIP, the analysis layer behind One Poesis recommendations. AI output can be incomplete, out of date or wrong. Review it before relying on it, and check important legal or filing decisions with a qualified professional. The AI, IP and Protection Disclaimer explains these limits in full.

8. Authorship certificates and other records

One Poesis can record a digital fingerprint of a file and the time we received it, and can issue an Authorship certificate you claim for an uploaded asset. These records can help you show what you had and when. They do not prove that you are the author, that a work is original, that you have priority over someone else, or that you own enforceable rights, and they do not guarantee the result of any dispute.

9. Filing on your behalf

We only submit an application to a government office after you complete the Authorize One Poesis step for that specific application, including ticking the authorisation box. We keep a record of the wording you agreed to and when. Your authorisation covers only that application.

Authorize One Poesis lets our team or a partner prepare and transmit the application through our workflow. It is not a power of attorney or a resident agent appointment lodged with the office. Where an independent licensed professional is engaged as counsel of record, they act under their own professional obligations.

Government fees, requirements, timelines and decisions are set by the office. We cannot promise that an application will be accepted, examined within a particular time, or granted. Never treat an application as submitted unless One Poesis shows that it has been submitted.

10. Credits and payments

Some features use One Poesis credits, and some services, such as preparing and filing an application, are paid for at checkout. Prices are shown before you confirm. The Credits, Payments and Refund Policy forms part of these terms.

11. Acceptable use

Do not use One Poesis to:

• upload content you do not have the right to use, or claim someone else's work as your own;
• file, or ask us to file, applications in bad faith, for example to block a rightful owner or to hold a name for ransom;
• break the law, harass anyone, or upload malware or unlawful material;
• access other people's accounts or data, probe or bypass our security, or overload the service;
• scrape One Poesis, copy it to build a competing service, or reverse engineer it except where the law allows;
• manipulate credits, payments or welcome offers, for example by creating multiple accounts.

Report suspected misuse of your work under the Intellectual Property Complaints Policy.

12. Our platform

One Poesis, its software, design, text, and the One Poesis name and logo belong to us or our licensors. We give you a personal, non-transferable, revocable right to use One Poesis under these terms. If you send us feedback, we may use it without any obligation to you.

13. Sharing

When you create a share link, anyone with the link can see what you chose to share until the link expires. Share links currently last seven days. You are responsible for who you send them to.

14. Third-party services

One Poesis relies on other services, such as hosting, payment, and AI providers, and links to government and other websites. We are not responsible for services we do not control, and their own terms may apply when you use them directly.

15. Suspending or ending your use

You can delete your workspace or your whole account in Settings. Deleting your account is not available while a filing is in progress. Some records are kept after deletion, as explained in the Privacy Notice.

We may suspend or close an account, or remove content, if we reasonably believe these terms have been broken, the law requires it, or there is a risk to other users or to One Poesis. Where reasonable, we will tell you why and give you a chance to respond. We may also change or stop features, and we will give reasonable notice of changes that significantly affect paid services you have already bought.

16. Disclaimers

We work hard to keep One Poesis accurate, available and secure, but we provide it "as is" and "as available". To the extent the law allows, we do not promise that One Poesis will be uninterrupted or error free, that AI output or research will be complete or correct, or that any protection, government decision or dispute will succeed.

17. Limits on our liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost opportunities, or for decisions made by any government office. Our total liability to you for any claim about One Poesis is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these terms limits liability that cannot be limited by law, including for fraud, gross negligence or wilful misconduct, or your rights as a consumer under the laws of the Republic of the Philippines.

Liability cap, venue and dispute timing are proposed draft wording and need Master's approval and lawyer review before they are treated as final.

18. Claims about your content

If someone brings a claim against us because of content you uploaded or an application you asked us to file with information you knew was false, you agree to cover our reasonable costs and losses from that claim, to the extent the law allows.

19. Changes to these terms

We may update these terms. The version and date at the top show which draft revision applies while this page remains a draft for review. If a change materially affects you after these terms are approved and published, we will tell you in the app or by email before it takes effect. If you keep using One Poesis after that, the new terms apply. If you do not agree, you can stop using One Poesis and delete your account.

20. Governing law and disputes

These terms are governed by the laws of the Republic of the Philippines. If you have a concern, please contact us first at [email protected] so we can try to resolve it. If we cannot resolve it within 30 days, either of us may bring the matter before the courts of To be confirmed, without affecting any right you have to bring a claim where the law allows.

Governing law is currently drafted as the Philippines. Venue is still to be confirmed. Both need Master's decision and lawyer review.

21. General

These terms are an electronic agreement. You accept them electronically when you create an account or continue to use One Poesis, and that acceptance has the same effect as a signed agreement under the Electronic Commerce Act (Republic Act No. 8792). We record the version you accepted.

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a term straight away, we can still enforce it later. You may not transfer your rights under these terms without our consent. We may transfer ours to a successor that continues to operate One Poesis, and we will tell you if we do.
